Boards and Committees:
It is anticipated that the experience of ACP Capital’s Board Members will enable ACP Capital to obtain fair value for its investments and return capital to the shareholders. Stephen Coe will oversee the audit process and work to improve financial controls whilst Antony Gardner-Hillman will focus on compliance as well as Jersey and UK legal issues.
ACP Capital has established an Audit Committee, which carries out a variety of functions, including reviewing annual and interim results, receiving reports from its auditors, agreeing the auditors’ remuneration and assessing the effectiveness of the audit and internal control environment. The Audit Committee oversees the relations with the external auditors and where necessary, may obtain specialist external advice from either its auditors or other advisers. This committee comprises Stephen Coe (Chairman), Patrick McCann, and James Lowenstein.
ACP Capital has established a Remuneration Committee, which is responsible for reviewing the scale and structure of the senior employees' remuneration and the terms of their service or employment contracts, including share option schemes and other bonus arrangements.
This committee comprises Stephen Coe, Antony Gardner-Hillman, and James Lowenstein.
The Nomination Committee comprises John Chapman, Patrick McCann, and James Lowenstein whilst the Litigation Committee comprises John Chapman, Patrick McCann, and Antony Gardner-Hillman.

ACP Capital Investing Policy
ACP Capital Limited manages and holds investments and funds/vehicles in niche product sectors. The Investing Policy of the Company and its subsidiary (together the “Group”) is to realise the Group's investment portfolio as opportunities arise and to distribute the net proceeds arising to shareholders. It is intended that such distributions will, where possible, be in the form of capital.
The Group does not take part in the day to day management of the underlying investments and does not intend to make further investments other than current portfolio companies in order to seek to protect or enhance the Company’s shareholder value. The Group has no maximum exposure limits with respect to individual portfolio investments.
Under the Articles, the net borrowings of the Group must not exceed an amount equal to three times the “adjusted equity shareholders’ funds” (as defined in the Articles). It is the current intention of the Directors that Group companies will not take on borrowings. However, portfolio investments themselves may be leveraged.
The Company has no other investment restrictions.
